Terms of Service

1. Acceptance of Terms

By accessing or using X.R.A.Y. (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, do not access or use the Platform. These Terms constitute a binding legal agreement between you ("Customer") and 25 Alpha LLC, a Delaware limited liability company ("25 Alpha," "we," "us," or "our").

These Terms are effective as of June 19, 2026. We reserve the right to modify these Terms at any time with 30 days' notice via email to your registered address. Continued use after notice constitutes acceptance.

2. Platform Description

X.R.A.Y. (eXecutable Resources for Autonomous Yield) is an intelligence-native AI business operating system designed for veteran-owned businesses, government contractors, and small-to-medium enterprises. The Platform provides:

• Autonomous AI agent fleet — 154+ agents configured to your NAICS code, executing across 18 operating zones • Hosted business website — live in under 25 minutes, custom domain, SSL included • Legal engine (HANDSHAKE) — contract generation, templates, and e-signature workflows • Compliance monitoring — SOC 2, CMMC, HIPAA, and industry-specific compliance tracking • GovCon intelligence — SAM.gov integration, bid alerts, and capture management • AUDIT subsystem — continuous compliance evidence collection and audit readiness • X.R.A.Y. Credits (XC) — compute currency powering all agent actions

The Platform operates across infrastructure in AWS us-east-1 (Virginia). All data is processed and stored within the United States.

3. Subscription Plans and Pricing

X.R.A.Y. is offered on the following subscription tiers, effective June 19, 2026:

Scout — $99/month ($990/year) Operator — $199/month ($1,990/year) Commander — $349/month ($3,490/year) General — $599/month ($5,990/year)

Founding 50 Program: The first fifty qualifying veteran-owned businesses approved by 25 Alpha LLC receive Scout pricing at $59.40/month (40% discount) locked for 36 consecutive months from activation date. Begins June 19, 2026.

VOSB20 Discount: Verified veteran-owned small businesses (VOSB) receive a 20% perpetual discount on X.R.A.Y. base plan pricing. Verification requires DD-214 documentation or SBA VOSB certification. This discount applies exclusively to X.R.A.Y.

ONWARD Discount: Customers referred through verified ONWARD partner channels receive 25% off their base plan for 24 consecutive months from activation.

All prices are in USD. Annual plans are billed annually in advance. Monthly plans are billed on the same calendar day each month. We reserve the right to modify pricing with 60 days' written notice.

4. X.R.A.Y. Credits (XC)

X.R.A.Y. Credits (XC) are the compute currency that powers agent actions on the Platform. Each plan includes a monthly XC allocation:

Scout — 250 XC/month Operator — 1,000 XC/month Commander — 3,000 XC/month General — 10,000 XC/month

Credits never expire. Unused XC rolls over indefinitely. Credits are non-transferable between accounts and have no cash value. Credits are not refundable.

Additional XC may be purchased at any time from the Billing dashboard. If your XC balance reaches zero, agent actions pause until you purchase additional credits or your monthly allocation renews.

XC allocations renew on your billing cycle date each month. Prior balances carry forward.

5. Payment Terms

Payment is processed through Paddle.com Market Limited ("Paddle"), acting as merchant of record for all X.R.A.Y. transactions. By providing payment information, you authorize Paddle to charge your payment method on behalf of 25 Alpha LLC for all subscription fees and additional purchases. Your billing relationship is with Paddle.

All charges are non-refundable except as expressly stated in our Refund Policy at 25xray.ai/refund-policy. Failed payment may result in service suspension after 5 business days' notice. Disputed charges must be raised within 30 days of the billing date.

25 Alpha LLC does not store full payment card numbers. All payment processing complies with PCI DSS standards. Paddle, as merchant of record, is responsible for collecting and remitting all applicable taxes. For billing support, contact info@25xray.ai.

6. Refund Policy

First Win Guarantee: If you do not achieve a measurable platform-delivered result within the first 25 minutes of account activation, your first month is free upon written request to info@25xray.ai within 7 days of signup.

Annual Plan Refunds: Annual plan customers who cancel within 30 days of their initial purchase date receive a full refund of the annual fee, less any XC credits consumed. Cancellations after 30 days are not eligible for a prorated refund; access continues through the end of the annual term.

No Refunds: Monthly subscription fees are non-refundable after the billing date. XC credits, add-ons, and one-time purchases are non-refundable once consumed.

Cancellation: Cancel at any time from the Billing dashboard. Cancellation takes effect at the end of the current billing period. Your data remains accessible for 90 days post-cancellation.

7. VOSB Verification

To receive the VOSB20 discount, you must provide verification of veteran-owned small business status. Accepted verification documents:

• DD-214 (Certificate of Release or Discharge from Active Duty) — any branch of U.S. military service • SBA VOSB Certification • CVE (Center for Verification and Evaluation) VOSB or SDVOSB verification letter

Misrepresentation of veteran status to obtain the VOSB20 discount constitutes fraud and will result in immediate account termination, recovery of all discounts applied, and potential legal action. 25 Alpha LLC takes veteran integrity seriously.

Verification documents are processed securely and not shared with third parties except as required by applicable law.

8. AI Agent and Autonomous Operations

X.R.A.Y. deploys AI agents powered by Anthropic Claude models and other AI infrastructure. By using the Platform, you acknowledge:

• Autonomous agents act on your behalf within the scope of your configured NAICS codes and authorized zones • You remain responsible for all business decisions and regulatory compliance regardless of agent recommendations • Agent outputs are AI-generated and may require human review before use in legal, financial, or compliance contexts • SENTINEL monitoring continuously audits agent activity for anomalies; flagged actions require your approval • Tier 4 autonomy (100/0 AI-to-human) requires CEO/CFO dual-consent plus voice confirmation • You must not use the Platform to circumvent applicable laws, regulations, or export controls

Agent actions are logged and retained per our data retention policy (Section 10). You may review all agent activity in the Command Center.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy at 25xray.ai/privacy-policy, incorporated herein by reference.

Data Ownership: You own all business data you input into the Platform. 25 Alpha LLC does not sell or transfer your data to third parties for marketing purposes.

Data Isolation: Your data is isolated using Row-Level Security (RLS) at the database level. Each tenant's data is logically separated from all other tenants. No cross-tenant data access is possible within our architecture.

AI Training: 25 Alpha LLC does not use your business data to train AI models without your explicit opt-in consent.

Data Portability: Upon request, we will provide an export of your data in machine-readable format within 30 business days.

10. Data Retention

Active account data is retained indefinitely while your subscription is active. Post-cancellation, your data is retained for 90 days to allow for reactivation or export.

Compliance evidence (AUDIT subsystem) is retained for a minimum of 24 months per regulatory requirements. Financial transaction records are retained for 7 years per IRS requirements.

DD-214 and VOSB verification documents are retained for the duration of the VOSB20 discount period plus 3 years.

You may request deletion of your data at any time by contacting info@25xray.ai. Deletion requests are processed within 30 days. Certain records may be retained longer as required by law.

11. Prohibited Uses

You agree not to use the Platform to:

• Violate any federal, state, or local law or regulation • Engage in unauthorized government contracting, set-aside fraud, or procurement fraud • Submit false VOSB, SDVOSB, or 8(a) certifications • Interfere with or disrupt Platform infrastructure • Reverse engineer, decompile, or attempt to extract source code • Use the Platform to compete against 25 Alpha LLC or to build a competing product • Access another customer's data or account • Submit data containing protected health information (PHI) without a signed Business Associate Agreement (BAA) • Use the Platform for any NAICS codes or business activities outside your verified authorization

Violation of these prohibitions may result in immediate account termination without refund.

12. Government Contracting Compliance

X.R.A.Y. is designed for government contractors and includes tools to assist with FAR, DFARS, CMMC, and related compliance requirements. However:

• The Platform provides compliance monitoring and evidence collection, not legal certification • CMMC certification, FedRAMP authorization, and similar assessments require engagement with accredited third-party assessment organizations • No content generated by the Platform constitutes legal advice • You are responsible for all submissions to federal, state, and local government agencies • 25 Alpha LLC is not a registered lobbyist or government representative

For FedRAMP Moderate authorization (targeted 2027 AWS GovCloud deployment), customers should consult with their agency AO.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 25 ALPHA LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO 25 ALPHA LLC IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities. We do not warrant the accuracy, completeness, or reliability of any AI-generated content.

System availability targets are documented at status.25xray.ai. Enterprise SLA terms are available by written agreement.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Binding Arbitration: Any dispute arising from or relating to these Terms or the Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party bears its own arbitration costs.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration against 25 Alpha LLC.

Small Claims Exception: Either party may bring an eligible claim in small claims court rather than arbitration.

16. Intellectual Property

25 Alpha LLC retains all intellectual property rights in the Platform, including the X.R.A.Y. brand, AISCO framework, agent architecture, and all Platform software. "X.R.A.Y.," "See Through Everything.™," "Intelligence with Intention.™," and "The Algorithm of Trust™" are trademarks of 25 Alpha LLC.

Customer Content: You retain ownership of all content you input into the Platform. You grant 25 Alpha LLC a limited license to process, transmit, and display your content solely to provide the Platform services.

Feedback: Any feedback, suggestions, or ideas you provide to 25 Alpha LLC may be used without restriction or compensation.

17. Termination

Either party may terminate these Terms: • You: Cancel at any time from the Billing dashboard, effective end of current billing period • 25 Alpha LLC: With 30 days' notice for convenience; immediately for breach, fraud, or abuse

Upon termination, your access to the Platform ceases. Your data is retained for 90 days to enable export. After 90 days, your data is deleted except where required by law.

Sections 13 (Liability), 14 (Warranties), 15 (Disputes), and 16 (IP) survive termination.
